Parties Involved

1. Striano LLC (“Company”)
2. Individual or Entity Checking the Box (“Counterparty”)

Purpose  

The Parties are considering a potential business transaction (the “Opportunity”). To facilitate this, they agree to share and protect confidential information as outlined below.

Key Terms

1. Confidential Information:  
  Any information shared related to business, operations, financials, strategies, products, and other proprietary details that are not publicly known.

2. Use of Information:  
  Both Parties agree to:
  – Use the Confidential Information only to evaluate the Opportunity.
  – Not disclose the Confidential Information to anyone outside their organization except to those who need it for the evaluation and have agreed to keep it confidential.

3. Protection of Information: 
  Each Party must take reasonable steps to protect the Confidential Information and ensure their employees and agents do the same.

4. Exclusions:  
  Confidential Information does not include information that is:
  – Already public through no fault of the receiving Party.
  – Already known by the receiving Party before disclosure.
  – Received from a third party without breach of confidentiality.
  – Required to be disclosed by law, provided the disclosing Party is notified in advance.

5. No Rights Granted:  
  Sharing Confidential Information does not give any rights or licenses to the receiving Party.

6. Return or Destruction:  
  If either Party decides not to proceed with the Opportunity, they will return or destroy all Confidential Information upon request.

7. Non-Solicitation:  
  For one year from the Effective Date, neither Party will solicit or hire the other Party’s employees who were known to them through this Agreement, except through general job postings.

8. Legal Relief:  
  Breach of this Agreement may result in irreparable harm, entitling the injured Party to seek legal remedies, including injunctions.

9. Governing Law:  
  This Agreement is governed by the laws of Delaware, USA.

10. Dispute Resolution:  
   Any disputes arising under this Agreement will be resolved in the courts of Delaware, USA.

11. Entire Agreement:  
   This document contains the full and complete understanding between the Parties regarding the disclosure of Confidential Information.
